Vocarimex, Company Vegetable Oils Industry Corporation Vietnam

Pursuant to the Decree No. 189/2007/ND-CP dated December 27, 2007 issued by the Government on the functions, tasks, powers and organizational structure of Ministry of Industry and Trade;

Pursuant to the Official letter No. 6402/VPCP-DMDN dated September 16, 2009 issued by the Office of Government on changing the National Company for Vegetable Oils, Aromas and Cosmetics of Vietnam to the Vietnam Vegetable Oils Industry Corporation;

Having considered the proposal of the National Company for Vegetable Oils, Aromas and Cosmetics of Vietnam at the Letter No. 676/DHM-KHDT dated June 27, 2009 on changing the National Company for Vegetable Oils, Aromas and Cosmetics of Vietnam to the Vietnam Vegetable Oils Industry Corporation operating in the parent-subsidiary company model;

At the proposal of the Head of Organization and Personnel Department,

DECIDES:

Article 1. To change the National Company for Vegetable Oils, Aromas and Cosmetics of Vietnam to the Vietnam Vegetable Oils Industry Corporation operating in the parent-subsidiary company model.

Article 2: The parent company – Vietnam Vegetable Oils Industry Corporation (hereafter called Parent company) is the state one operating under the Law on State Enterprises; having legal entity status, its own seal, symbol, organization and operation charter and branches and representative offices complying with provisions of law; allowed to open accounts at banks and treasury.

1. Parent company has:

a) Vietnamese name: Tong Cong ty Cong nghiep Dau thuc vat Viet Nam ;

b) English name: Vietnam Vegetable Oils Industry Corporation;

c) Abbreviation name: VOCARIMEX

d) Head office: No. 58 Nguyen Binh Khiem street , Da Kao ward, district 1, Ho Chi Minh City ;

e) Branch in Ha Noi: No. 8, Cat Linh street , Dong Da district, Ha Noi

2. Charter capital of the Parent company: VND674.533 billion (Six hundred seventy four billion five hundred and thirty three million Vietnam dong).

3. Business lines of the Parent Company:

a) Producing and trading in vegetable and animal oils and fats, essential oils, aromas, cosmetics, toiletries, coconut shell charcoal and products from oil plants;

b) Processing food and foodstuff (wheat milling, instant noodle, confectionery, milk);

c) Producing bio-diesel, beer, soft drinks;

d) Producing and trading in packings;

đ) Processing animal feed;

e) Exporting, importing and trading in materials, raw materials, vegetable oils, essential oils, oil-based agricultural and forestry products, and particular materials and equipment serving the Corporation’s functions;

g) Providing rent services of storages, yards, office buildings;

h) Developing and providing port services for exporting and importing vegetable oils and other goods and services;

i) Investing and developing oilseed growing regions;

k) Trading in other lines as stipulated by laws.

4. Parent company has the management structure including General Director, Deputy General Directors, Chief Accountant and assisting apparatus. Management apparatus of the Parent company is the apparatus of the Corporation.

5. Rights and responsibilities of the Parent company; organization and management of the Parent company; the relationship between the Parent company and its subsidiary and associated companies; the relationship between the Parent company and the Ministry of Industry and Trade and other competent governmental offices are stipulated in the Organization and Operation Charter of the Parent company.

6. Vietnam Vegetable Oils Industry Corporation is responsible for inheriting the legal rights and responsibilities from the National Company for Vegetable Oils, Aromas and Cosmetics of Vietnam.

Article 3. Subsidiary companies and associated companies of the Parent company.

1. Subsidiary companies: the companies in which the Parent company owns shares or contributed capital of more than 50% of the charter capital.

2. Associated companies: the companies in which the Parent company owns shares or contributed capital of less than 50% of the charter capital.

(List of subsidiary companies and associated companies of the Parent company at the establishment date of the Corporation is in the Appendix enclosed.)

Article 4. General Director of the Vietnam Vegetable Oils Industry Corporation has the responsibilities:

1. To formulate the Organization and Operation Charter of the Parent company and submit it for the Minister of Industry and Trade’s approval;

2. To formulate the Financial Regulations of the Parent company and submit it for the Minister of Finance’s approval; and

3. To organize the implementation of equitization of the Parent company before 1 July 2010.

Article 5. This decision takes effect from the signing date.

Head of the Ministry Office, Head of the Ministry Inspectorate, Heads of Ministry’s departments and agencies, General Director of the National Company for Vegetable Oils, Aromas and Cosmetics of Vietnam, General Director of the Vietnam Vegetable Oils Industry Corporation and Heads of the relevant agencies shall be responsible for implementation of this Decision./.
